Pursuant to Law no. 253/2004 on settlement finality in payment and securities settlement systems, that ensures transposition of Directive 98/26/EC of the European Parliament and of the Council of 19 May 1998 on settlement finality in payments and securities settlement systems, into the Romanian legislation, a payment system is a convention in writing which cumulatively fulfils the following conditions:
a) is concluded between three or more participants, other than a possible settlement agent, a possible central counterparty, a possible clearing house or a possible indirect participant and has common rules and standardised procedures as regards the execution of transfer orders between the participants;
b) is governed by the law chosen by the participants, which may be the Romanian law if at least one of the participants has its head-office in Romania or the law of a Member State in the European Economic Area if at least one of the participants has its head-office in the concerned Member State; and
c) is designated by the NBR as a system governed by the present law or is designated by another Member State in the European Economic Area whose law is applicable to it, and is notified as such to the EU Commission.
